1.            Introduction and Your Acceptance of Our Privacy Policy

a.    Before you use our Services (as defined in our User Agreement as found at www.centralstockyards.com/UserAgreement (as well as any successor uniform resource locator(s) (“URL(s)”)), please carefully read: 1) this Privacy Policy; 2) our User Agreement; 3) each listing agreement that you sign as Seller (as defined in the listing agreement) for your specific listing sold; and 4) each forward contract or other document that you sign as Seller or Buyer (as “Seller” and “Buyer” are defined in each such forward contract or other document). All of the above documents will be posted (and updated from time to time) on our Services, or delivered to you as part of a transaction you conduct through our Services, and those documents or any other collectively constitute a formal legal agreement (such formal legal agreement collectively, our “T&Cs”) by and between “you” (also referred to as “your”, whether or not capitalized) and Central Stockyards, LLC, a Delaware limited liability company (“Central Stockyards”, also referred to as “CSLLC”, “our”, “us” or “we”, whether or not capitalized).

b.    By accessing or using our Services as a guest or in a CSLLC user account, and/or by clicking “I Accept” or “I Agree” or similar language when this choice is offered to you, you accept and agree to be bound by our T&Cs, and your digital signature will be date and time stamped when you first agree to our T&Cs. You also agree to allow us to execute our T&Cs on your behalf if your signature is needed to comply with any law or regulation.

c.     By accessing our Services, using our Services or creating an account on any of our Services, you further consent to the collection, use and storage of your personal data as outlined in this Privacy Policy. If you do not agree with this Privacy Policy or any future updates to this Privacy Policy, your choice is to not use our Services, or if you have created a CSLLC account, to stop using our Services and informing us so that we may disable your CSLLC account.

d.    This Privacy Policy explains what personal data CSLLC collects from you, through our interactions with you and through our Services, and how we use these data.

2.            Personal Data We Collect

a.    CSLLC collects data to operate effectively and provide you the best experiences with our Services. You provide some of these data directly, such as when you create a Central Stockyards user account, conduct a search, create a listing to sell your livestock, upload a photo or video, bid on a livestock listing, enter payment information or contact us for support. We obtain some data from you by recording how you interact with our Services using technologies such as browser cookies and flash cookies, receiving error reports or receiving usage data from your device(s). In some instances, we may obtain data about you from Third Parties (where “Third Party(ies)” (or “Third-Party” where applicable) means any party(ies) other than you or CSLLC). If we do, at the very least, we will protect these data according to the practices described in this Privacy Policy or as further described in any additional agreements we might have with such Third Parties.

b.    The data we collect depends on your interactions with CSLLC and which of our Services you decide to use. The data we might collect on you can include information by which you may be personally identified, but is not limited to, the following:

First name, last name, middle name, email addresses, email messages sent and received, account number, postal addresses, physical originals or copies of postal mail, billing addresses, phone numbers, mobile phone numbers, passwords, password hints, age, date of birth, gender, country, preferred language, profile photos, business names, biographies, bank names, credit card names, credit card numbers, debit card numbers, credit card verification codes (or “CVCs”), bank routing numbers, bank account numbers, security codes, postal ZIP codes, device information, data about the features you use, livestock you sell or purchase, livestock transaction details, pages you visit, search queries, saved searches, watch lists, commands, telephone conversations with CSLLC support personnel, conversations with chat bots, your survey responses, other communications with us, settings you select, configurations you use, connectivity data, networks you use, software registration, operating systems you use, product keys, Internet protocol (or “IP”) addresses, device identifiers, International Mobile Equipment Identity (or “IMEI”) numbers, language settings, error reports, error data, functionality and other complaints, authentication data, data about the condition of your device if a fault occurs, location data, global positioning system (or “GPS”) data, voice recordings, all items you upload to our Services (i.e., photos, videos, audio files, documents, files, short message service (“SMS” or “text”) messages, information in data fields, reviews, ratings, etc.) and if you interact with a CSLLC event (such as a presentation, etc.) your information and/or image(s) may be captured by us for various marketing or security purposes.

c.     You have a choice about some of the data we collect. When you are asked to provide personal data, you may decline; however, if you choose not to provide data that is necessary for us to provide you and other users (for example, data about livestock you are selling) a Service or feature, then you may not be able to use that Service or feature.

3.            How We Use Personal Data

As described in more detail below, CSLLC may use the data we collect to: (a) provide (including improving and personalizing) the Services we offer; (b) send communications (including promotional communications) and (c) advertise our Services and other services and products to our users. In carrying out these purposes, we may combine data we collect from our various Services or Third Parties to give you a more seamless, consistent and personalized experience. For example, based on what you search for, we may provide more relevant recommendations to you.

4.            Providing and Improving Our Services

a.    We use data to provide and improve the Services we offer and to perform business operations. This includes operating our Services, maintaining and improving the performance of our Services, developing new features, developing new Services, conducting research and providing customer support. More specific examples of these uses are below.

b.    We use data to carry out your transactions with us and to provide our Services to you. For example, if you create a livestock listing on one of our platforms, we will use the data you have provided to publish your listing on that platform and across our other Services in order to increase visibility and awareness of your livestock for sale to potential buyers. In such instances, your listing will likely be indexed by search engines and discoverable across the Internet.

c.     We use data to continually improve our Services, including adding new features or capabilities. For example, we use error reports to improve security features and search queries to improve the relevancy of search results.

d.    We use data to protect the security and safety of our Services and our customers, to detect and minimize fraud, to resolve disputes and enforce our agreements.

e.    Finally, we use data to develop analysis and business intelligence that enable us to operate, protect, make informed decisions and report on the performance of our business.

5.            Communications

We use data we collect to communicate with you and personalize our communications with you. For example, we may contact you by phone, SMS/text message, push notifications via our web-based or smartphone applications, email or other means to inform you about information related to our Services, livestock listings you have sold or purchased, insufficient payments, account information, invite you to participate in a survey or tell you that you need to take a certain action regarding your account. Additionally, you may sign up for one or more email subscriptions and similar promotional communications from CSLLC. CSLLC reserves the right to record any calls we may have with you regarding any of our Services.

6.            Advertising

a.    CSLLC may use data we collect through our interactions with you, through our Services and on Third-Party web properties, to show you advertising. We may also share data we collect with Third Parties so they can select and deliver some of the ads you see in our Services, their Services or other sites and apps serviced by these Third Parties. We may also share your data directly with our service providers to permit them to provide services on our behalf or to partner with us in selecting and serving ads for our advertising partners.

b.    The ads you may see may be selected based on data we process about you, such as your interests, favorites, location, transactions, how you use our Services, search queries or the content you view. The ads you may see may also be selected based on other information learned about you over time using demographic data, location data, search queries, interests, favorites, usage data from our Services, as well as the sites and apps of our advertisers and affiliates.

7.            Reasons We Share Personal Data

a.    We share your personal data with your consent, as required by law or regulation, or as necessary to complete any transaction or provide any Service you have requested or authorized. For example, we share your content with Third Parties when you tell us to do so, such as when you send a message to another user or upload photos or videos for a listing. When you provide payment data to make a purchase, we will share these data with banks and other entities that process payment transactions or provide other financial services, and for fraud minimization and credit risk reduction.

b.    In addition, we share your personal data among our affiliates, subsidiaries and vendors or agents working on our behalf for the purposes described in this Privacy Policy. For example, companies and consultants we have hired to design and build software, process payments, process notifications, send promotional emails, provide software support, customer service support or assist in protecting and securing our systems and Services may need access to personal data to provide those functions for us and for our Services. In such cases, all of these entities with whom we share personal data agree to abide by our data privacy and security requirements as described in this Privacy Policy. We may also disclose personal data as part of a corporate transaction such as an acquisition, merger, or purchase or sale of assets.

c.     Finally, we will access, transfer, disclose and preserve personal data when we have a good faith belief that doing so is necessary to:

1.    Comply with applicable law or respond to valid legal or regulatory process, including to respond to law enforcement, government or regulatory agencies;

2.    Protect our customers, for example to minimize spam or attempts to defraud legitimate users of our Services, or to help prevent the loss of life or serious injury of anyone;

3.    Operate and maintain the security of our Services, including to prevent or stop an attack on our computer systems or networks; or

4.    Protect the rights or property of CSLLC, including enforcing the terms and conditions of our various agreements with CSLLC users.

d.    Please note that some of our Services include links to systems of Third Parties (e.g., Google Maps, Facebook, Instagram, Twitter, Snapchat, LinkedIn, Google Analytics, etc.) or access hardware or software provided by Third Parties (e.g., your smartphone’s camera, video recording device, GPS, phone, etc.). In such instances, these Third Parties’ privacy practices may differ from those of CSLLC. If you provide personal data to any of these Third Parties, your data is governed by the privacy policies of such Third Party(ies).

8.            Technologies We Use

CSLLC uses cookies, web beacons, log files and similar technologies to provide our Services and to help collect data. The text in these technologies often consists of a string of numbers and letters that uniquely identifies your system, but it can contain other information as well.

a.    Use of Cookies and Similar Technologies
CSLLC uses cookies and similar technologies for a number of purposes, depending on the Service, including:

1.    Storing your preferences and settings in our Services. For example, if you enter your city or postal code in a search bar, we may store that data in a cookie so you will see information that is more relevant to you when you return to our Service. We also save preferences, such as language, browser and multimedia player settings, so you do not have to re-enter your preferences each time you return to our Service.

2.    Signing-in and authenticating our Services. When you sign into one of our Services, we store a unique identification number, and the time you signed in, in an encrypted cookie on your device. This cookie allows you to move from page to page within our Service without making you sign in again on each page.

3.    Security purposes. We use cookies to help detect fraud and minimize any abuse or misuse of our Services.

4.    Storing information you provide to one of our Services. For example, if you begin to add an individual listing but you do not complete the listing during that session, we may store that information in a cookie so your working draft of your listing still may be available to you when you later return to our Service to complete your listing.

5.    Social media networks. Our Services may include social media cookies that enable users who are logged in to a social media service to share content via that service.

6.    Service Feedback. CSLLC may use cookies to enable you to provide feedback on some of our Services.

7.    Interest-Based Advertising. CSLLC may use cookies to collect data about your online activity and identify your interests so we can provide advertising that is more relevant to you.

8.    Showing Advertising. CSLLC also may use cookies to record how many visitors have clicked on an advertisement and to record which advertisements you have seen.

9.    Analytics. In order to provide our Services, we use cookies and other identifiers to gather usage and performance data. For example, we use cookies to count the number of visitors to a Service and to develop other statistics about the operations of our Services. This includes cookies from CSLLC and from Third-Party analytics providers such as Google Analytics. In addition to the cookies CSLLC sets when you visit our Services, Third Parties may also set cookies when you visit our Services. In some cases, this is because we have hired the Third Party to provide services on our behalf, such as software development, support or analytics.

b.    Use of Web Beacons and Similar Technologies
We may also use other technologies such as: (1) web beacons (which allow us to verify system and server integrity as well as to determine if a certain page was visited or whether an email was opened); (2) tracking pixels (which allow us to advertise more efficiently by excluding our current users from certain promotional messages or identifying the source of a new installation); and (3) local shared objects (also known as flash cookies) which help us minimize fraud, recall user settings for features and track your progress on certain tasks.

c.     Use of Log Files and Similar Technologies
Like most standard computer servers, we also use log files. Log files track IP addresses, browser type, Internet service providers, referring pages, exit pages, platform types, date and time stamps, and number of clicks. We utilize this information to analyze trends, administer our Services, minimize fraud, track website navigation and gather broad demographic information for Service use.

d.    How to Control Cookies and Similar Technologies
Most web browsers automatically accept cookies but provide controls that allow you to block or delete them. Instructions for blocking or deleting cookies in these browsers should be available in each browser’s privacy settings. Flash cookies, however, operate differently than browser cookies and cookie management tools available in a web browser will not remove flash cookies. Certain features of our Services depend on cookies. Please be aware if you choose to block cookies, you may not be able to use those features, and preferences dependent on cookies may be lost. If you choose to delete cookies, then your settings and preferences that are controlled by those cookies will be deleted and may need to be recreated each time you visit our services.

9.            Security of Your Personal Data

CSLLC is committed to protecting the security of your personal data. We use a variety of security technologies and procedures to help protect your personal data from unauthorized access, alteration, use or disclosure.

10.          Our Retention of Personal Data

CSLLC retains personal data for as long as necessary to provide the Services and fulfill the transactions you have requested, or for other essential purposes such as complying with regulatory requirements and our legal obligations, resolving disputes between livestock buyers and sellers, and enforcing our agreements. Because these needs can vary for different data types in the context of the different Services we offer, actual retention periods can vary significantly.

11.          Minors

Our Services are not intended for children under the age of 13 and we do not knowingly collect data from children. If you are under the age of 13, do not use our Services. Children under the age of 13 should not use our Services at any time. In the event that we learn we have inadvertently gathered or received data from a child under the age of 13, we will take reasonable measures to promptly remove the display of such data. If you believe that we might have any information from or about a child under the age of 13, please email us at support@centralstockyards.com.

12.          International Users

If you are located outside of the United States (“U.S.”), please note that our Services are hosted on servers located inside the U.S., and your information will be processed and stored inside the U.S. As a result, U.S. law enforcement or regulatory agencies may be able to obtain disclosure of your information through U.S. laws and regulations. Please also be aware that if you access our Services while outside the U.S., if you decide to use unsecured WiFi, Internet or other connections outside the U.S. to access our Services, your transmissions of data outside the U.S. may also be able to be monitored and captured by U.S. and/or foreign governments.

13.          Your Communications Preferences

You can choose whether you wish to receive promotional communications from CSLLC by email, SMS/text messages, physical mail and/or by telephone. If you receive promotional email or SMS messages from us and would like to opt out, you can do so by following the directions in that message. You can also make choices about how you receive email and mobile push notifications in your account preferences page. These choices do not apply to mandatory Service communications that are part of certain Services.

14.          How to Access and Control Your Personal Data

a.    You can view, edit or delete your personal data online for many of our Services. You can also make choices about our collection and use of your data. For example, if you wish to access, edit or remove your profile information, payment information, change your password, add security information or close your account, you can do so by visiting your CSLLC account preferences page. If you wish to remove an active livestock listing, visit the details page for that listing.

b.    If you cannot access certain personal data using the methods described above, then you can always contact us at support@centralstockyards.com to make your request. We will promptly respond to requests to access or delete personal data, but in each instance within 30 days; however, if we cannot meet your request within this 30-day period for any reason, we will inform you of when we will be able to do so.

c.     Please note that certain records, for example, those having to do with payments or customer service matters, must be retained for legal and accounting purposes. We also may not be able to accommodate your request to change information if we reasonably believe that your requested change would violate any legal requirement, law or regulation, or result in your information being incorrect. With other content, such as if you have created a listing, or if you sent a message to another CSLLC user, we may not be able to delete that information entirely, if at all.

d.    California Civil Code Section §1798.83 permits users of our Services that are California residents to request certain information regarding our disclosure of their personal information to Third Parties for direct marketing purposes of those Third Parties. If you are a California resident and you wish to make such a request, please send an email to support@centralstockyards.com.

15.          Changes to this Privacy Policy

We will update this Privacy Policy when necessary to reflect customer feedback and changes in our Services. When we post changes to this Privacy Policy, we will post the new version of this Privacy Policy on the publicly available portion of our CSLLC website, and we will note the Newest Update date for this Privacy Policy in the header of each page of this Privacy Policy. Please periodically review this Privacy Policy to learn how CSLLC is protecting your information.
